Good to know
The annual report is new: it began in 2025.
Act 122 of 2022 created the annual report for most domestic and foreign associations beginning in calendar year 2025; the old ten-year (decennial) report was repealed.

File directly; third parties charge more.
The Department says many third parties charge $100 to $200 for a filing that can be made directly for $7 (free for nonprofits) and takes about 5 to 10 minutes. File online at file.dos.pa.gov; no PIN is needed for the annual report, and online reports are approved automatically.

Not the same as the federal beneficial ownership report.
The Pennsylvania annual report is required by state law and filed with the Department of State. The federal Corporate Transparency Act report is a different filing with FinCEN, and federal rules or court cases about it do not affect the Pennsylvania annual report.

Foreign registrations cannot reinstate.
A foreign registration that was administratively terminated for not filing cannot be cured by reinstating; the foreign association must register again with a new Foreign Registration Statement.
