LLC (annual report, Form 1)
- Due: April 15 each year. The first filing is due the year after you start the business (a business formed in 2024 files by April 15, 2025), even with no revenue.
- Fee: $300 filing fee on the 2026 Form 1 for a domestic or foreign LLC.
- Late: On the Form 1: a return postmarked after April 15 gets an initial penalty of 1/10 of 1% of the county assessment, plus interest of 2% of that penalty for each 30 days or part of 30 days late. Do not prepay; the Department bills it.
- If you miss it: The state forfeits a business that is not in good standing and the problem is not fixed; a forfeited business cannot legally operate in Maryland. The Form 1 says failure to file will result in forfeiture of the Maryland charter or the right to do business, and estimated assessments of twice the estimated value of the personal property owned.
- To close it: Cancel the LLC with SDAT first (see the closing steps below).
