Good to know

Not the same as filing taxes.

Every business registered with the Secretary of State must file the Business Entity Report; the Secretary of State says this is not the same as filing your taxes. General partnerships and sole proprietorships do not register and do not file one.

Reminders and how to find your due date.

Email reminders are sent 90 and 30 days before the due date to the business email and registered agent email. Use the Business Search, open the Business ID, and the Business Details page shows the due date.

What the report must contain.

Principal office address, an Indiana registered agent name and address (a business cannot be its own registered agent), at least one officer or governing person depending on entity type, and a business email address.

Closing a Indiana business: step by step

Do the federal steps on the closing checklist too. State-specific steps:

  1. File the dissolution (or cancellation or withdrawal) in INBiz
To formally dissolve, a business must file with the Indiana Secretary of State first: Dissolution for a corporation or LLC, Cancellation for a limited partnership, Withdrawal for a limited liability partnership or an out-of-state business. The Secretary of State warns that closing in INBiz ends only your obligations to that office.

  2. Notify your county assessor
All business owners must notify their local county assessor's office about the closure.
